The Associate Counsel assists the General Counsel in planning and directing all aspects of the organization's legal affairs and ensures maximum protection of its legal rights. Assists General Counsel on all corporate, legal and regulatory matters, including but not limited to: general contracts, third-party agreements, vendor-supplier relationships, management of external counsel, management of litigation process, industry related compliance issues, employment law, and intellectual  property. Additionally, this individual will be working closely with members of Fortegra's management teams and  with external interfaces.

Primary Job Functions

Assist General Counsel with mergers and acquisition transactions and in forseeing and protecting the Company against legal risks

Assist in corporate governance and SEC matters
Prepare contracts, oversee preparation of contracts and monitor progress. Ensure compliance with customer contracts.
Familiarization with insurance industry-related regulatory and compliance issues. Help ensure that all organizational activities are carried out in compliance with local, state, and federal regulations and laws governing business operations.
Conduct research and prepare legal documents.
Assist General Counsel with litigation, legal employment matters and compliancy to protect the complany against legal liability.
Participate  in establishing policies and procedures that are consistent with the organization's broad policies and objectives.
Analyze issues and use sound judgement. Gather and analyze information needed  to understand problems; base decisions on sound logic and rationale; advance problems toward resolution when  encountering ambiguity or uncertainty; choose the best alternative based on consideration of pros; cons; tradeoffs; timing and available resources; make timely decisions on problems and issues  requiring  immediate attention; make sound decisions on complex functional issues and problems
Drive Execution; Effectively manage time and priorities by focusing on highest priority tasks and working efficiently; prepare for and facilitate productive meetings
Assist and lead when needed on special legal projects

Education and Skill Requirements

Law degree from an accredited school
2-5 years experience
Work under General Counsel
